Terms of Service

FurtherSales Network is a B2B online platform operated by FurtherSales GmbH (hereinafter "FurtherSales", "we", "us") that connects dealers, buyers, manufacturers, rental companies and service providers of machinery, vehicles, industrial goods and related products worldwide.

FurtherSales Network does not sell or purchase machinery. We provide a digital infrastructure that enables dealers to present their inventory and buyers to discover and contact dealers directly.

By accessing or using FurtherSales Network, you agree to these Terms of Service. If you do not agree, please do not use the platform.

FurtherSales Network is a B2B platform exclusively for commercial users. Access is permitted to:

• Companies and registered businesses

• Independent traders and dealers

• Manufacturers and importers

• Equipment rental companies

• Industrial service providers

FurtherSales Network is not a consumer platform. By registering, you confirm that you are acting in a professional or commercial capacity and not as a private consumer. We reserve the right to request proof of commercial status at any time.

Dealers are fully responsible for the accuracy, completeness and legality of all content they publish on FurtherSales Network, including company information, machine listings, prices and contact details.

By uploading content, dealers confirm that:

• They hold all necessary rights to publish the content

• All information is accurate and not misleading

• Machine listings relate to inventory that is genuinely available for sale or inquiry

• No prohibited, counterfeit or illegal goods are listed

FurtherSales may remove listings or profiles that violate these terms or applicable law without prior notice.

FurtherSales may use publicly available business information (such as company name, address, website and contact details) to create or pre-populate dealer profiles. Dealers may at any time request corrections or the removal of their profile by contacting info@furthersales.com.

FurtherSales reserves the right, at its sole discretion, to:

• Refuse publication of any dealer profile, machine listing or other content submitted to the platform

• Remove, modify, suspend or restrict the visibility of any published content at any time

• Reject profile claims or profile ownership requests

• Decline any publication request without providing a reason

• Limit the visibility of content that does not meet platform standards, editorial guidelines or applicable legal requirements

Dealers have no automatic right to publication, continued publication or specific placement within FurtherSales Network.

FurtherSales may determine how content is displayed, categorised, ranked or promoted within the platform. The exercise of these editorial rights does not create any obligation to compensate the dealer for reduced or removed visibility.

FurtherSales will where practicable notify dealers of content removals or visibility restrictions, except where immediate action is required to address legal, security or compliance concerns.

FurtherSales Network may create dealer profiles based on publicly available business information, including company directories, trade registries, websites, professional networks and other publicly accessible business sources.

FurtherSales may use such publicly available company information to create, complete, enrich or update dealer profiles in order to maintain a useful and reliable B2B directory.

Dealers included in the directory have the right to:

• Claim and fully manage their profile

• Request corrections to any information

• Request complete removal of their profile, unless legal retention obligations or overriding legitimate interests apply

FurtherSales aims to ensure the accuracy of pre-populated information but does not guarantee completeness or timeliness. Dealers are encouraged to claim and verify their profiles to ensure accuracy.

Dealer profiles, machine listings and publicly available marketplace content on FurtherSales Network may be indexed by search engines such as Google, Bing and others, and may be displayed in search results.

Dealers acknowledge and agree that public profile information — including company name, location, equipment categories and listed machines — may become searchable and publicly accessible through third-party search engines.

If a dealer does not wish their profile to be indexed, they may request de-indexing by contacting partners@furthersales-network.com. FurtherSales will make reasonable efforts to comply but cannot guarantee the removal of previously indexed content from third-party search engines.

A Contact Request is created when a buyer submits the following information via the FurtherSales Network contact form:

• Name

• Email address

• Message

— and the inquiry relates to a specific machine listing or offer by a specific dealer.

Multiple Inquiries — Same Machine

Multiple submissions from the same person regarding the same machine listing within 30 days count as a single Contact Request. Only one Contact Request is billed for that combination.

Multiple Machines

If the same person submits inquiries regarding different machine listings, each machine-specific inquiry is counted as a separate Contact Request.

Example:

• Inquiry about Machine A = 1 Contact Request

• Inquiry about Machine B = 1 Contact Request

• Inquiry about Machine C = 1 Contact Request

→ Total = 3 Contact Requests

Billing Disputes and Invalid Requests

A Contact Request is generally billable if the required information has been submitted and successfully transmitted to the dealer. Obvious spam, duplicate technical submissions, fraudulent requests or system errors may be reviewed and cancelled by FurtherSales at its reasonable discretion.

Phone clicks, WhatsApp clicks, page views, machine views and dealer profile views are not billable Contact Requests unless expressly agreed otherwise.

Contact Requests are the sole billable unit on FurtherSales Network. There are no listing fees, no setup fees and no monthly subscriptions.

Dealers may dispute billed Contact Requests within 14 days after the invoice date by contacting info@furthersales.com with supporting information.

FurtherSales will review the disputed Contact Request and determine whether it qualifies as a billable request. The decision of FurtherSales shall be final unless required otherwise by applicable law.

The following types of requests may be excluded from billing upon review:

• Clearly automated spam submissions

• Technically duplicated submissions caused by system errors

• Empty or incomplete submissions that do not contain the required information (name, email, message)

The following types of requests remain billable regardless of the buyer's background:

• Inquiries from private individuals

• Inquiries using Gmail, Outlook, Yahoo or other personal email addresses

• International inquiries from any country

• General purchase interest inquiries without a specific technical question

FurtherSales maintains electronic records of all Contact Requests. These records include:

• Timestamp of submission

• Recipient dealer

• Machine or listing reference

• Submitted contact details (name and email address)

• Message content

These records serve as proof of delivery and billing validation. In the event of a dispute, FurtherSales may provide a summary of the relevant records to the dealer.

Records are retained in accordance with applicable German law and the FurtherSales Privacy Policy.

FurtherSales Network operates on a Pay-Per-Contact-Request billing model.

Dealers are NOT charged for:

• Creating or maintaining a dealer profile

• Uploading machine listings or inventory

• Profile enrichment or updates

• Platform access or browsing

Dealers are charged ONLY when a valid Contact Request is generated as defined in these Terms.

Payment Terms:

• Invoices are issued by FurtherSales GmbH in accordance with applicable German tax law

• Standard payment term is 14 days from invoice date unless otherwise stated on the invoice

• Contact Requests are typically collected and invoiced on a monthly basis or when a minimum billing threshold is reached

Late Payments:

• Late payments may result in payment reminders and associated reminder fees

• FurtherSales reserves the right to temporarily restrict or suspend access to dealer features in case of overdue invoices

• Dealers remain responsible for all outstanding amounts during any suspension period

• Persistent non-payment may result in referral to collection procedures

Electronic Invoicing:

Invoices may be issued electronically and delivered by email. Dealers agree that electronic invoices satisfy all applicable invoicing and delivery requirements under applicable law.

Tax and VAT:

Dealers are responsible for providing accurate billing information, including company name, registered address, tax identification number and VAT identification number where applicable. FurtherSales GmbH may rely on the information provided by the dealer for invoicing purposes. Any taxes, VAT obligations or reporting requirements applicable to the dealer's jurisdiction remain the dealer's sole responsibility unless otherwise required by applicable law.

FurtherSales reserves the right to change prices at any time. Price changes will be communicated in advance and will apply only to Contact Requests generated after the effective date of the change. Existing billing arrangements are not retroactively affected.

Dealers receive Contact Requests free of charge during the introductory free period described in these Terms and on the Pricing page.

Contact Requests may be collected and invoiced periodically, typically on a monthly basis, unless another billing arrangement has been agreed. FurtherSales may also issue invoices once a minimum billing threshold has been reached.

Invoices are issued by FurtherSales GmbH in accordance with applicable German tax law. Unless stated otherwise on the invoice, invoices are payable within 14 days from the invoice date.

The first 12 months of FurtherSales Network use are free of charge for dealers.

During this free period, FurtherSales charges no monthly subscription and no buyer inquiry fees.

After the free period, there is still no monthly subscription and no sales commission. FurtherSales charges EUR 10 per qualified Contact Request for one of the dealer's machines, as described in the pricing section.

FurtherSales Network operates as an international B2B platform connecting dealers and buyers across multiple jurisdictions. Dealers represent and warrant that:

• They are not subject to applicable trade sanctions, export restrictions or asset freezes imposed by the European Union, the United States of America, the United Nations, the Federal Republic of Germany or any other applicable jurisdiction

• They do not conduct business in violation of applicable export control laws, trade embargo regulations or dual-use goods regulations

• They will not use FurtherSales Network to facilitate prohibited or restricted transactions, including transactions involving sanctioned countries, territories, entities or individuals

• They comply with all applicable national and international trade regulations, including regulations governing the export, re-export, import or transfer of machinery, equipment or related technology

FurtherSales reserves the right to suspend or terminate dealer accounts, restrict access or remove content without prior notice if there is a reasonable basis to believe that applicable export control or sanctions regulations are being or may be violated.

FurtherSales does not accept liability for any sanctions violations, export control breaches or related regulatory consequences attributable to a dealer's use of the platform.

FurtherSales Network does not verify, and expressly disclaims any responsibility for verifying, the ownership, legal title, possession rights, financing status, existing liens, encumbrances or other legal rights relating to any machine, vehicle, equipment item or inventory listed on the platform.

Dealers represent and warrant that:

• They hold the legal right, authority and ownership title, or have been duly authorised by the rightful owner, to advertise, market, offer or sell the listed assets

• The listed assets are free from undisclosed liens, charges, financing arrangements or third-party legal claims that would prevent or materially affect their sale or transfer

• All information regarding the listed assets, including ownership status, condition, specifications and pricing, is accurate and not misleading

FurtherSales assumes no responsibility and accepts no liability for:

• Disputes regarding ownership, legal title or possession of listed assets

• Claims by third parties asserting title, security interests, liens or other rights over listed assets

• Financing arrangements, hire-purchase agreements or other encumbrances affecting listed assets

• Any loss, damage or legal consequence arising from the advertisement or sale of assets to which the dealer does not hold clear legal title

Any disputes regarding ownership or title of listed assets are solely the responsibility of the dealer and any party claiming rights over the relevant asset. FurtherSales is not a party to any such dispute.

FurtherSales may offer optional additional services including:

• Auction platform solutions and auction marketing

• Newsletter promotions and email campaigns

• Advertising campaigns and featured placements

• Technical integrations and inventory synchronization services

• Lead generation services and buyer matching

Such services may be subject to separate pricing, separate agreements or additional contractual terms. Participation in such services is voluntary unless otherwise agreed in writing.

Newsletter and Marketing Promotion:

FurtherSales may promote dealer profiles, machine listings, auctions and marketplace opportunities through:

• Email newsletters to registered buyers and industry contacts

• Social media channels

• Advertising campaigns and partner networks

• Industry publications and trade media

Such promotion is intended to increase dealer visibility and buyer reach. It does not guarantee sales, inquiries or specific commercial results.

FurtherSales may determine the order, ranking, visibility and promotion of dealer profiles, machine listings and marketplace content using editorial, commercial, technical or algorithmic criteria at its sole discretion.

FurtherSales reserves the right to:

• Feature, highlight or promote selected dealer profiles, machine listings or content without obligation

• Adjust the ranking or placement of any content within the platform at any time

• Exclude content from promotional activities at its sole discretion

Participation in promotional activities, featured placements or newsletter campaigns does not guarantee a specific ranking, visibility level, number of impressions, number of buyer inquiries or any specific commercial results.

Dealers acknowledge that FurtherSales may apply commercial, editorial or technical criteria when determining content promotion and that no entitlement to a specific placement, ranking or level of visibility arises from the use of the platform or from participation in any promotional programme.

FurtherSales Network is a B2B marketplace and dealer directory that connects dealers and buyers of used and new machinery and industrial equipment.

Buyers may browse listings and submit Contact Requests to dealers through the platform.

FurtherSales does NOT act as:

• Seller or co-seller of any machine or equipment

• Broker or commission agent

• Dealer representative or agent

• Reseller or intermediary

• Contractual party in any transaction

Any transaction, negotiation or commercial relationship resulting from a Contact Request is conducted exclusively between the buyer and the dealer. FurtherSales is not liable for the outcome, quality or performance of any such transaction.

Global Platform:

FurtherSales Network operates internationally. Listings, dealer profiles and buyer inquiries may originate from any country or jurisdiction worldwide. Dealers acknowledge that buyer inquiries may come from businesses or individuals located anywhere in the world. FurtherSales does not guarantee the commercial suitability, business qualification, creditworthiness or purchasing intent of any buyer who submits a Contact Request through the platform.

FurtherSales Network offers a dealer verification program to increase trust and visibility within the platform.

FurtherSales may:

• Review dealer profiles and submitted documents

• Grant, withhold or revoke verified status

• Request additional documentation at any time

• Reject or suspend profiles that do not meet verification requirements

Verified status is not a guarantee of the quality, solvency or reliability of a dealer. It indicates that FurtherSales has reviewed the provided information and found it consistent with the dealer's public business identity.

Dealers are responsible for keeping their verification information up to date.

All platform technology, branding, design, software and content created by FurtherSales (including the FurtherSales Network name, logo, and platform interface) are the intellectual property of FurtherSales GmbH and are protected by applicable copyright and trademark law.

Dealers retain ownership of content they upload (machine listings, images, descriptions). By uploading content, dealers grant FurtherSales a non-exclusive, worldwide, royalty-free licence to display, index and distribute that content for the purposes of operating and promoting FurtherSales Network.

Unauthorised reproduction, scraping or distribution of platform content is prohibited.

FurtherSales Network is provided on an "as available" basis. We strive for high availability but do not guarantee uninterrupted access.

FurtherSales does not guarantee:

• Any specific number of Contact Requests or buyer inquiries

• Any sales outcomes or revenue for dealers

• Continuous or error-free platform operation

• That the platform will be free from technical issues

Scheduled maintenance will be communicated in advance where possible. FurtherSales reserves the right to modify, suspend or discontinue any part of the platform at any time.

FurtherSales may additionally offer services including auction solutions, marketing services, newsletter promotions, inventory analysis, featured placements and technical integrations. These services may be subject to separate terms.

To the fullest extent permitted by applicable law, FurtherSales GmbH shall not be liable for:

• Loss of profits or revenue arising from use of the platform

• Failure to generate buyer inquiries or Contact Requests

• Accuracy of machine listings or dealer information

• Transactions, negotiations or disputes between dealers and buyers

• Technical failures, data loss or service interruptions

• Any indirect, consequential or incidental damages

FurtherSales acts solely as a marketplace operator. All transactions and commercial relationships are between the dealer and the buyer. FurtherSales is not a party to any sale, purchase or rental transaction conducted through the platform.

Nothing in these Terms limits liability for death, personal injury, fraud or any other liability that cannot be excluded under applicable German law.

Dealers may terminate their use of FurtherSales Network at any time by contacting info@furthersales.com. Any Contact Requests already billed prior to termination remain due and payable.

FurtherSales reserves the right to suspend or permanently terminate dealer accounts in the event of:

• Violation of these Terms of Service

• Publication of false, misleading or prohibited content

• Fraudulent or abusive use of the platform

• Failure to pay outstanding invoices

• Any conduct that damages FurtherSales Network or its users

• Violation of applicable export control or sanctions regulations

In cases of serious or repeated violations, FurtherSales may act without prior notice. For minor violations, FurtherSales will generally provide notice and an opportunity to remedy the breach.

These Terms of Service are governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding conflict of law provisions.

The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms or the use of FurtherSales Network is Bremen, Germany — to the extent permitted by applicable law.

If you are a business user located outside Germany, you agree to submit to the jurisdiction of the courts of Bremen for any disputes relating to these Terms.

EU Online Dispute Resolution: The European Commission provides a platform for online dispute resolution at https://ec.europa.eu/consumers/odr. FurtherSales GmbH does not participate in consumer dispute resolution procedures, as FurtherSales Network is exclusively a B2B platform.
